Terms and Conditions
Private-alpha terms.
These Terms and Conditions (“Terms”) are between you and the operator of the app, a private individual in Israel (“the Operator”). Mikey is a personal hobby project run by that one person. There is no company. The Operator offers the Mikey for Bands private-alpha rehearsal service (the “Service”) free, to a small number of invited bands, as a personal favor. The Operator provides it voluntarily and gratuitously. There is no payment, no advertising, and no sale of data. The Operator has no plan to charge.
Checking “I agree to the Terms and Conditions” is how you accept these Terms. Checking “I acknowledge that I have read the Privacy Notice” only confirms that you received the Privacy Notice. It is not consent to product-improvement analytics. That choice is a separate box, unchecked unless you check it, and the Service does not depend on it. These checkboxes are not a statement that every clause was negotiated.

- The Service is a free, unpaid experiment, provided as is and as available. You use it by choice. You may stop and leave at any time. It may fail, change, or stop.
- The Operator has no duty to keep, back up, export, or restore content. Keep your own copies of anything you cannot afford to lose.
- You assume the risk that content is lost, wrong, or unavailable, that the Service stops, and that another member views, changes, or deletes shared material.
- The Operator provides the Service voluntarily. Liability is limited as the Limitation of liability section describes.
- The Operator may suspend access immediately for abuse, a security incident, or a legal duty. Where it is practical, the Operator aims to give advance notice. The Operator does not have to.
- The Operator may transfer the Service to an entity the Operator sets up later. The Operator aims to give notice before the Operator does.
- If your account is deleted, recordings you uploaded stay with the band. They are not deleted with your account.
Who may use the Service
You must be at least 18, use a Google account you are allowed to use, and be invited. You are responsible for your account, for keeping access to it secure, and for activity through it. Tell the Operator at hello@mikeyforbands.com if you think someone else is using it. Do not share your access, impersonate another person, or let someone use the Service through your account unless that person has accepted the current Terms.
The alpha, and the risk you assume
The Service is an experiment for invited bands, provided as is and as available. The Operator does not warrant that it will be uninterrupted, accurate, secure, or fit for a rehearsal, a performance, or any professional purpose, or that it will be free of errors. The Operator does not promise that content will remain stored or recoverable. There is no duty to retain content, no duty to back it up, and no duty to provide an export. Keep your own copies.
You use the Service at your own risk. You assume the risk of loss, deletion, corruption, unavailability, errors, host failure, and of what another member does with material shared inside the band. Do not use the Service as the only copy of a recording or note.
Bands and shared material
Every active member of a band can view and edit that band’s shared material, including repertoire, rehearsal notes, attendance, and recordings, together with file names, segments, and the waveform the Service generates so the band can play and mark a recording. A creator or uploader name records who added something. It does not give that person exclusive control, and it does not stop another active member from editing or deleting shared material.
Band administrators also invite and remove members. Platform administrators can create bands and appoint or remove band administrators. Platform administration does not by itself make that person a member of a band or give access to the band’s material. Removing a member stops new access. It does not erase history the band already has, recordings that member uploaded, or copies someone already downloaded.
Your content
You keep any rights you already have in material you or someone using your account submit through the Service (“User Content”). User Content includes recordings, voices, performances, compositions, lyrics, arrangements, samples, notes, names, and files. A recording is also band content once it is in the band.
You are responsible for User Content and for the decision to record, upload, or share it. Each time you submit User Content you represent and warrant that:
- you have the rights and permissions needed for the Operator to host it and for the other active members of that band to keep using it inside the Service, including after your account is deleted;
- every person who can be heard, seen, or identified has been told, and has given any permission the law requires;
- where the material includes someone else’s composition, lyrics, recording, or sample, you have the right to store it and to play it privately for that band, or you are otherwise allowed to do so;
- the material does not infringe anyone’s rights and was not collected in breach of recording, privacy, or contract law; and
- you will not rely on the Operator to clear rights, decide whether a recording is lawful, or notify the other people in the room.
Licence limited to operating the Service
You grant the Operator a non-exclusive, royalty-free licence to host, store, reproduce, transmit, display, and play User Content only to operate the Service for the band that content belongs to. The licence includes technical copies that hosting requires, the waveform and technical metadata the Service generates for playback and organization, and securing or repairing that content. The Operator may grant those same limited rights only to the providers named in the Privacy Notice, and only so they can perform that role.
The licence lasts while the content is stored for that band. It survives deletion of your personal account. Recordings you uploaded stay with the band and are not deleted because your account is deleted. Other members may keep using them until the band deletes that recording, or until the Service ends and the stored copy is gone. The licence does not allow the Operator to publish your content, sell it, advertise with it, give it to another band, or use it to train a model. The Operator does not do those things.
The Operator may transfer this licence with the Service to an entity the Operator sets up later. The Operator aims to give notice before the Operator does.
You also grant the other active members of that band a non-exclusive, royalty-free licence to play, segment, annotate, and keep using that User Content for the band’s internal purposes, while the content is held in the band. You cannot grant a right you do not have. The Operator does not acquire ownership of User Content. A right that was validly granted before your account is deleted survives that deletion.
Product-improvement analytics
The optional analytics box is not required. If you check it, the Operator stores that choice and the time you made it, and one row each time you open a recording and press play. Pausing, seeking, or playing again on that same player without leaving it does not add another row. The Privacy Notice lists that row’s columns, who can see the counts, and how long the rows are kept. The Operator does not store the audio or the playback position, and the Operator does not train a model. A later no replaces an earlier yes when that no is saved. A later no does not delete a play already stored.
The Operator does not send marketing email. The Operator does not train an AI or other model on your content, and the Service does not transcribe or otherwise analyze recordings with AI. A future use would be described in an updated notice, with a separate opt-in where the law requires consent.
Acceptable use
Do not use the Service to break the law or another person’s rights; make an unlawful or covert recording; upload material you have no right to share with the band; harass, exploit, or mislead anyone; upload malware; bypass access controls; scrape, probe, or overload the Service; or interfere with another band’s data. The Operator does not check content before you upload it. The Operator may investigate, remove content, preserve evidence needed for a claim or legal duty, suspend access, or report conduct where the Operator reasonably believes that is necessary to enforce these Terms, meet a legal duty, answer a rights complaint, or protect a person or the Service.
Rights complaints
Anyone may complain about content in the Service. That includes a person who is not a member and is heard in a recording, and an owner of copyright or performer rights. Write to hello@mikeyforbands.com.
The Operator may restrict access while the Operator looks into a credible complaint. The Operator may ask for more evidence. The Operator may remove content. The Operator may preserve evidence a claim needs. The Operator may end the access of someone who repeatedly infringes. The Operator may restrict a recording that includes a minor on a credible request. The Operator does not promise that content will be deleted.
Stopping
You may stop using the Service at any time. You may ask to delete your personal account as described in the Privacy Notice. A platform administrator can delete a member’s account from Administration. Pending invitations to that email are removed. A platform administrator account cannot be deleted this way. Recordings you uploaded stay with the band.
The Operator may suspend your access immediately for abuse, a security incident, or a legal duty. Where it is practical, the Operator aims to give advance notice before the Operator suspends access or ends the Service. The Operator does not have to. The Operator may end the Service, including because the alpha is over. The Operator has no duty to keep content, to give you a copy, or to keep the Service running. Keep your own copies.
The software
The Operator and the Operator’s licensors own the Service, its software, and its branding. You receive a personal, revocable, non-transferable right to use the Service during the alpha under these Terms. You may not copy, sell, or reverse engineer the Service except where the law does not allow that restriction. If you choose to send feedback, you give the Operator a licence to use that feedback to operate and improve the Service, without payment. You do not have to send feedback. Feedback does not include your recordings or band content.
Indemnity
You will indemnify the Operator against third-party claims, damages, losses, and reasonable legal costs arising from your User Content, the way you recorded or collected it, your use of the Service, your breach of these Terms, or your violation of another person’s rights, including other band members and people who can be heard or identified in a recording.
The Operator aims to tell you of a claim this indemnity covers. You will give reasonable cooperation. The Operator will not settle that claim in a way that admits fault for you without your consent. This indemnity does not cover the part of a loss caused by the Operator’s own wrongful conduct. It also does not apply to intentional harm or gross negligence by the Operator, or to bodily injury, where Israeli law does not allow that liability to be excluded or transferred.
Limitation of liability
These Terms do not name anyone else as the operator. Liability is limited as follows.
- Nothing in these Terms limits liability that Israeli law does not allow to be limited. That includes intentional harm, gross negligence, bodily injury, and duties under privacy law that cannot be waived.
- The Service is free and gratuitous. To the extent Israeli law allows, the Operator is not liable for ordinary negligence.
- If that exclusion does not apply, or a court or tribunal holds that it is unenforceable, the Operator’s total liability for direct damages arising out of the Service is ILS 100.
- The Operator is not liable for indirect or consequential loss, lost profits, lost opportunity, or loss of content, including where the alpha fails or content is unavailable, lost, or deleted, except where the law does not allow that exclusion. The Operator is not liable for another member’s content, or for what another member does with material shared inside the band.
- If a court or tribunal holds that a limit in these Terms is unenforceable, that limit applies to the maximum extent the law allows, and the rest of these Terms stays in effect.
Changes
The Operator may change these Terms. A new version and effective date appear on this page. If the required version changes, you must accept the new Terms before band data is available again. If you do not accept, sign out and stop using the Service. An earlier acceptance, a page view, or silence is not acceptance of a new version. The same rule applies when the required Privacy Notice version changes. A new acknowledgement still only confirms that you read the notice. The same form asks the optional analytics question again. The box starts unchecked, and the latest answer replaces the earlier one.
Law and courts
These Terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv-Jaffa have exclusive jurisdiction over disputes arising out of these Terms or the Service, subject to any venue rights that cannot lawfully be excluded. This does not take away a right Israeli law gives you to apply to a regulator or to the Standard Contracts Tribunal.
General
If part of these Terms is unenforceable, the rest remains. Waiting to enforce a term is not a waiver. You may not transfer these Terms. The Operator may transfer them to a successor of the Service, as the licence section describes. The Privacy Notice explains personal information. If these Terms and the Privacy Notice conflict about personal information, the Privacy Notice prevails. If they conflict about any other subject, these Terms prevail. Subject to mandatory law, accrued rights and liabilities, the indemnity, the licences these Terms say survive, intellectual property, the limitations of liability, and governing law and dispute resolution survive account deletion or the end of the Service.
